These Terms of Service (“Terms”) govern websites, software, website-development services, inventory-management tools, marketplace services, and related products and services provided by Ace the 19th Hole, LLC, doing business as Golf Cart Resource and Golf Cart Resource Dealer Services (“Golf Cart Resource,” “GCR,” “we,” “us,” or “our”).

By purchasing, subscribing to, accessing, or using our Services, you agree to these Terms.

If you enter into these Terms for a dealership, company, or other organization, you represent that you have authority to bind that organization.

1. Services

Golf Cart Resource provides technology and related services designed for golf cart dealerships.

Depending on the services selected, the Services may include:

Dealer website design and development
Website migration
Website hosting and maintenance
Inventory-management functionality
Vehicle inventory and detail pages
Inventory feeds, imports, and integrations
Forms and lead-management functionality
Multiple-location management
Dealership hours and contact-management tools
User-access functionality
Financing and estimated-payment displays
Inventory analytics and reporting
Search-engine-oriented website functionality
Printable dealership and showroom materials
Domain configuration
GolfCartResource.com Marketplace exposure
Marketing and analytics integrations
Technical and dealer support

Available functionality may vary according to your selected services and account configuration.

2. $1 Website Start Offer

Where offered, the initial $1 payment begins your Golf Cart Resource Dealer website project.

After receiving the $1 payment, Golf Cart Resource may begin:

Discovery and onboarding
Website planning
Design and development
Content preparation
Inventory configuration
Website migration
Integration work
Domain and launch preparation

The $1 payment does not constitute the recurring monthly website fee.

Regular monthly website billing does not begin until the new website is live.

The $1 payment is non-refundable.

3. Monthly Pricing

Once your website is live, the standard website service is:

First Dealership Location: $300 per month

Each Additional Dealership Location: $75 per month

For example:

1 location: $300/month
2 locations: $375/month
3 locations: $450/month
4 locations: $525/month

Additional products, marketing services, integrations, custom development, or other optional services may carry separate charges disclosed before purchase.

4. Month-to-Month Service — No Long-Term Contract

The standard website service is provided on a month-to-month basis.

There is no required long-term contractual commitment for the standard website service unless you separately agree in writing to another arrangement.

These Terms still constitute the agreement governing your Services.

Your monthly service automatically continues until canceled in accordance with Section 5.

5. Cancellation

You may cancel your standard monthly website service by emailing:

Your cancellation request must be received at least fourteen (14) days before your next monthly renewal date.

If a cancellation request is received fewer than 14 days before the next renewal date, the upcoming monthly renewal may still be processed and cancellation will take effect for the following renewal period.

Cancellation requests should identify the dealership and account being canceled so we can reasonably verify and process the request.

Calling Golf Cart Resource or communicating with an individual employee does not replace the required emailed cancellation request unless Golf Cart Resource confirms the cancellation in writing.

6. No Refunds

All payments are non-refundable.

This includes:

The initial $1 website-start payment
Monthly website payments
Additional-location charges
Optional services
Add-ons
Other properly authorized charges

Cancellation does not entitle the customer to a refund or prorated refund for amounts already paid or charged.

Nothing in this section limits rights that cannot legally be waived.

7. Website Development and Launch

After you begin a website project, we may request information needed to complete the website, including:

Dealership locations
Business information
Brands carried
Services offered
Existing website content
Domain information
Inventory sources
Logos and photographs
User information
Integration credentials or access
Other reasonably required information

You agree to provide accurate information and reasonably cooperate with the launch process.

8. Launch Timing

Golf Cart Resource may advertise that its streamlined process is designed to launch websites quickly, including website messaging concerning launches in under two weeks.

Any launch timeframe assumes timely receipt of the information, access, content, approvals, and cooperation needed from the customer.

Unless expressly guaranteed in a separate written agreement, estimated launch dates are targets rather than guarantees.

Launches may be delayed because of:

Customer delays
Missing content
Delayed approvals
Domain or DNS issues
Third-party systems
Inventory-data problems
Integration problems
Changes in project scope
Technical issues outside our reasonable control
Other circumstances reasonably affecting implementation

9. Customer Responsibilities

Customers are responsible for:

Providing accurate dealership information
Maintaining accurate inventory information
Maintaining lawful rights to all supplied content
Reviewing website information for accuracy
Maintaining accurate vehicle pricing and availability
Maintaining required dealership disclosures
Protecting account credentials
Controlling authorized users
Complying with laws applicable to the dealership
Obtaining required consumer communication consent
Properly using lead and customer information
Promptly notifying us of suspected unauthorized access

10. Customer Content

“Customer Content” includes logos, photographs, inventory information, videos, descriptions, pricing, dealership information, documents, and other materials supplied by or on behalf of a customer.

You retain ownership of your Customer Content.

You grant Golf Cart Resource a non-exclusive license to host, reproduce, format, modify as technically necessary, transmit, display, and distribute Customer Content as reasonably necessary to provide your Services.

This includes using authorized Customer Content to:

Operate your dealership website
Display inventory
Provide integrations
Provide support
Syndicate authorized inventory
Display qualifying inventory through GolfCartResource.com

You represent that you have all rights and permissions necessary for the materials you provide to us.

11. Website Platform Ownership

Your dealership website is provided through Golf Cart Resource's proprietary website and inventory platform.

Your monthly service gives you the right to use that website and platform while your account remains active.

Unless Golf Cart Resource expressly agrees otherwise in writing, cancellation does not entitle the customer to:

A copy of the complete website
Website source code
GCR proprietary software
GCR plugins or platform components
Website templates
Proprietary layouts or systems
A transferable copy of the website for hosting elsewhere

The website itself is therefore not exportable or transferable upon cancellation.

This section does not change your ownership of your Customer Content or domain.

12. Domain Ownership

The customer retains ownership of its domain name, assuming the domain belongs to the customer.

Cancellation of Golf Cart Resource services does not transfer ownership of a customer-owned domain to Golf Cart Resource.

We will reasonably cooperate with the customer in connection with domain access or DNS changes required following cancellation, provided the account is otherwise in good standing.

13. Inventory and Lead Exports

Customers may export or request available exports of their:

Inventory information
Lead information

Customers should request or complete these exports before service termination where practicable.

The availability, structure, and format of exported information may differ from the structure used internally by the Golf Cart Resource platform.

Website source code and proprietary platform functionality are not included in these exports.

14. Data After Cancellation

Following cancellation:

Website access may be discontinued.
Platform access may be discontinued.
Inventory publication may stop.
GolfCartResource.com Marketplace distribution may stop.
Integrations may be disconnected.
Customer users may lose platform access.

Golf Cart Resource may retain customer, transaction, account, service, lead, inventory, backup, security, and operational records when reasonably necessary for legitimate business, legal, security, fraud-prevention, operational, backup, or compliance purposes.

Certain information may remain in system backups after an active account has been terminated.

Golf Cart Resource does not guarantee indefinite availability of canceled-account data and customers should export information they wish to retain before cancellation becomes effective.

15. Inventory Information

Customers are responsible for the accuracy of inventory information supplied to or displayed through the Services.

This includes:

Pricing
Sale pricing
Vehicle condition
Year
Make
Model
Specifications
Features
Availability
Photographs
Stock numbers
Financing information
Other listing information

Inventory information may become outdated between updates.

Golf Cart Resource does not independently guarantee the accuracy of dealership-supplied inventory data.

16. GolfCartResource.com Marketplace

Marketplace exposure for qualifying dealership inventory may be included with the website service at no additional charge.

Participating inventory may be transmitted to and publicly displayed through GolfCartResource.com.

Marketplace information may include:

Dealership identity
Dealership location
Contact information
Vehicle inventory
Prices
Photographs
Specifications
Availability
Website links

Marketplace inclusion does not guarantee any particular:

Traffic
Impressions
Leads
Sales
Conversion rate
Revenue

Historical GolfCartResource.com traffic figures do not guarantee future traffic or results for an individual dealership.

17. Financing and Payment Estimates

The platform may display estimated monthly vehicle payments or financing incentives based on information such as:

Vehicle price
Make
Model
Year
Condition
Interest rate
Financing term

Unless expressly stated otherwise, displayed payments are estimates only.

They do not constitute:

An offer of credit
Loan approval
Guaranteed financing
Guaranteed payment terms

Actual financing terms depend on the applicable lender, consumer eligibility, and other factors.

Dealerships remain responsible for their financing offers and legally required disclosures.

18. Leads and Consumer Communications

The Services may collect and route consumer inquiries to dealerships.

Customers are responsible for their subsequent use of those leads, including compliance with applicable requirements governing:

Telephone calls
Email
Text messaging
Advertising
Privacy
Marketing
Opt-out requests
Consumer communications

The Services may not be used to send unlawful spam, deceptive messages, abusive communications, or marketing communications for which required permission has not been obtained.

19. Third-Party Services

Our Services may rely on or integrate with third-party products, including services provided by companies such as:

GoHighLevel / LeadConnector
Zoho
Google
Meta
Payment processors
Hosting providers
Inventory-management providers
Domain and DNS providers
Advertising platforms
Analytics services
Communications providers

Third-party products are subject to their own terms, policies, technical limitations, and availability.

Golf Cart Resource is not responsible for outages, restrictions, discontinued functionality, or failures caused solely by third parties outside our reasonable control.

20. Fees and Payment Authorization

You agree to pay charges associated with the Services you select.

Unless canceled in accordance with these Terms, monthly charges may automatically recur using the payment method associated with your account.

By providing or authorizing a payment method, you authorize Golf Cart Resource and its payment providers to charge amounts properly due under your selected Services.

21. Taxes

Service prices may be exclusive of taxes unless otherwise stated.

Customers are responsible for applicable transaction taxes to the extent required by law.

22. Suspension or Termination

Golf Cart Resource may suspend or terminate Services when reasonably necessary because of:

Nonpayment
Fraud
Security concerns
Unauthorized use
Material violation of these Terms
Illegal activity
Platform abuse
Threats to system security
Requirements imposed by law
Requirements of a third-party service necessary to provide functionality

Where reasonably practicable, we may provide an opportunity to resolve a remediable issue.

23. Acceptable Use

You may not use the Services to:

Violate applicable law
Infringe intellectual-property rights
Publish content without required rights or permission
Distribute malicious software
Circumvent security systems
Obtain unauthorized system access
Interfere with platform operation
Engage in fraud
Engage in deceptive conduct
Impersonate another business or person
Unlawfully collect personal information
Send unlawful communications
Materially harm our systems, customers, or users

24. Golf Cart Resource Intellectual Property

Except for Customer Content and third-party materials, Golf Cart Resource and its licensors retain all rights in our:

Software
Source code
Platform
Plugins
Databases
Designs
Templates
Documentation
Processes
Website components
Reporting systems
Branding
Graphics
Proprietary technology

No ownership interest in those materials is transferred to a customer by subscribing to the Services.

25. Service and Feature Changes

We may improve, modify, replace, add, or discontinue functionality from time to time as the platform evolves.

We will use commercially reasonable efforts to avoid materially disrupting paid Services without reasonable justification.

Third-party integrations may change when their providers modify their products, APIs, policies, or services.

26. Service Availability

We work to provide reliable Services, but websites, integrations, feeds, APIs, hosting services, and other functionality may occasionally be unavailable.

Availability may be affected by:

Maintenance
Software updates
Network failures
Internet outages
Cybersecurity incidents
Third-party failures
Circumstances outside our reasonable control

27. No Guarantee of Business Results

Golf Cart Resource provides technology, website, inventory, marketing, and related services, but does not guarantee:

Vehicle sales
Lead volume
Lead quality
Search-engine rankings
Website traffic
Marketplace traffic
Advertising performance
Financing approvals
Revenue
Profit
Conversion rates
Any other specific business result

Past performance, traffic, or results do not guarantee future performance.

28. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT, GOLF CART RESOURCE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT PERMITTED BY LAW.

Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACE THE 19TH HOLE, LLC, GOLF CART RESOURCE, THEIR AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR LOST OPPORTUNITIES ARISING FROM OR RELATED TO THE SERVICES.

Nothing in these Terms limits liability that cannot legally be limited.

30. Indemnification

To the extent permitted by law, the customer agrees to defend, indemnify, and hold harmless Ace the 19th Hole, LLC, Golf Cart Resource, and their affiliates, officers, employees, and contractors from third-party claims resulting from:

Customer Content
The customer's products or services
The customer's communications with consumers
The customer's violation of law
The customer's infringement of another party's rights
The customer's material violation of these Terms

This does not require indemnification to the extent a claim results from Golf Cart Resource's own unlawful conduct or where indemnification cannot legally be required.

31. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any court proceeding arising from these Terms or the Services shall be brought in a court of competent jurisdiction in Texas, subject to any venue rights that cannot legally be waived.

32. Changes to These Terms

We may update these Terms as our Services, technology, pricing, or business practices evolve.

The date at the top of these Terms identifies the latest revision.

Where appropriate, we may provide additional notice of material changes affecting an active paid service.

33. Entire Agreement

These Terms, together with any applicable order, checkout terms, proposal, Privacy Policy, service-specific terms, or separately signed written agreement, constitute the agreement governing the applicable Services.

If a separately signed written agreement expressly conflicts with these Terms, the separately signed agreement controls as to that conflict.

34. Severability

If a provision of these Terms is found unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.

35. No Waiver

Failure to enforce a provision of these Terms does not waive our right to enforce that provision later.
